Confidentiality agreement (electronic acknowledgement) By clicking "I agree", you, as a prospective buyer (the "Recipient"), acknowledge and commit to the following towards the seller who published the listing (the "Discloser") and towards CompanyExit: 1. Confidential information includes the company's name, brand and address; any financial, legal or operational data; any documents in the data room; everything exchanged in conversations; and the fact that the company is for sale. 2. Use: you will use confidential information only to evaluate a possible acquisition of the company, and never to compete with it or to solicit its customers, employees or suppliers. 3. Non-disclosure: you will not disclose confidential information to any third party other than your legal or financial advisers or financiers who are bound by equivalent confidentiality, and you remain responsible for their compliance. 4. No direct contact: you will not contact the company's employees, customers or suppliers about the transaction without the seller's written consent. 5. Return of information: when your interest ends, or at the seller's request, you will stop using the information and delete any copies you hold. 6. Term: this commitment lasts two years from the date you accept it. 7. No obligation to transact: this acknowledgement does not oblige either party to complete a transaction, and CompanyExit gives no warranty about the accuracy of information provided by the seller. 8. Governing law: this acknowledgement is governed by the laws of the Arab Republic of Egypt, and the courts of Cairo have jurisdiction over any dispute. The time of your acceptance and your IP address are recorded as evidence of consent.
